This Public Offer (the “Offer”) is an official proposal by FreedesDigital LTD (the “Company”, “we”), addressed to any individual or legal entity (the “Customer”, “you”) who accepts its terms, to enter into a license agreement for the use of digital 3D products on the terms set out below. In accordance with the law of the Republic of Cyprus, completing an order and/or making payment for the products constitutes full and unconditional acceptance (acceptance of the Offer) and creates a binding agreement between you and the Company.
1.Subject of the Offer — What We Sell
The Company designs, develops and licenses digital assets for computer graphics and architectural visualization. We do not transfer ownership of the files themselves — we grant the Customer the right to use the intellectual property contained in them under a license. The subject of the agreement is the grant of a non-exclusive license (a right of use) to digital 3D products including, but not limited to, the following categories:
3D Models
Individual objects, props, furniture and equipment supplied as ready-to-use 3D geometry.
3D Scenes
Complete, composed environments and interior/exterior sets ready for rendering.
Textures
Image maps (diffuse, normal, roughness, etc.) for surfacing 3D geometry.
Materials
Ready-made shader and material definitions for use in supported render engines.
Other 3D Digital Products
Any other 3D content and related digital assets developed by the Company — such as HDRI environments, lighting setups, presets, configurations and similar products.
2.Grant of Rights & License Scope
Upon payment, the Company grants the Customer a non-exclusive, worldwide, perpetual license to use the purchased product for the following purposes:
- use in commercial and non-commercial projects (architectural visualization, renders, animation, games, films, advertising and similar);
- modification and adaptation of the product for the needs of such projects;
- use of the final rendered output (still images, video, interactive scenes) without additional royalties.
Restrictions
Except as expressly permitted above, the Customer may not:
- resell, redistribute, sublicense, rent, lend or otherwise make the product available as a standalone digital file (in original or modified form) to any third party;
- publish the product on stock libraries, marketplaces or asset-sharing platforms;
- claim authorship of, or register intellectual property rights in, the product itself.
3.Price & Payment
The price of each product (the license fee) is stated on the corresponding product page at the time of ordering. Prices are quoted in the currency shown at checkout and may include or exclude applicable taxes as indicated. The agreement is deemed concluded, and the license granted, at the moment funds are received by the Company. Payment is processed through the payment methods made available on the website.
4.Delivery of Products
Products are delivered exclusively in electronic form, by providing the Customer with access to download the files (via a download link and/or the Customer's account) after payment has been confirmed. No physical goods are shipped. The Customer is responsible for ensuring their software and hardware are capable of using the delivered file formats.
5.Intellectual Property
All 3D models, 3D scenes, textures and materials offered by the Company, together with all associated exclusive rights, are and remain the intellectual property of FreedesDigital LTD. Nothing in this Offer transfers ownership of, or exclusive rights in, the products to the Customer. The Customer receives only the license (right of use) described in Section 2.
6.Refunds
Because the products are digital goods delivered instantly and cannot be returned once downloaded, license fees are generally non-refundable after access has been provided. Where a product is technically defective or materially not as described, the Customer may contact the Company within 14 days of purchase, and the Company will, at its discretion, repair, replace or refund the affected product.
7.Warranties & Liability
The products are provided “as is”. The Company warrants that it holds the rights necessary to grant the licenses offered. To the maximum extent permitted by law, the Company shall not be liable for any indirect or consequential loss arising from the use or inability to use the products. The Company's total liability in respect of any product shall not exceed the amount paid by the Customer for that product.
8.Governing Law & Disputes
This Offer and any license concluded on its basis are governed by the law of the Republic of Cyprus. Any dispute that cannot be resolved amicably shall be submitted to the competent courts of the Republic of Cyprus. If any provision of this Offer is found to be invalid, the remaining provisions shall continue in full force.
